By using this website or engaging our services, you agree to be bound by these terms. If you do not agree, please do not use this website or engage our services.

In these Terms and Conditions, the following definitions apply:

You may use this Website for lawful purposes only. You agree not to:
- Use the Website in any way that violates applicable Malaysian or international laws or regulations
- Transmit any unsolicited commercial communications through or in connection with the Website

A practitioner-client relationship is established only upon the execution of a formal Engagement Letter. Submitting an enquiry through our contact form does not establish such a relationship.
4. Engagement of Services
The provision of services by Lexvault is subject to the following conditions:
- All engagements are formalised by a written Engagement Letter that sets out the scope, deliverables, estimated timeline, and fees for the specific matter.
- Work will not commence until the Engagement Letter has been countersigned and any applicable advance payment received.
- Scope changes requested during an engagement will be documented in a written variation and may result in adjusted fees and timelines.
- We reserve the right to decline any engagement at our discretion, including where a conflict of interest exists or the matter falls outside our areas of competence.
- We may engage qualified third-party practitioners or specialists to assist on a matter where appropriate, subject to confidentiality obligations.
5. Fees and Payment
Service fees are as stated in the relevant Engagement Letter. Prices published on this Website are indicative starting rates and the final fee for any specific engagement will be set out in writing before work commences.
- Invoices are payable within fourteen (14) days of the invoice date unless otherwise agreed in writing.
- Payment may be made by bank transfer or such other methods as specified in the invoice.
- Late payment may result in a suspension of work on the relevant matter until settlement is received.
- Government filing fees, official disbursements, and third-party costs are not included in service fees and will be invoiced separately.
- In the event of an engagement being terminated prior to completion, fees for work completed to the point of termination remain due and payable.
All fees are quoted in Malaysian Ringgit (RM) and are subject to applicable taxes as required by Malaysian law.
6. Confidentiality
We treat all client information as confidential. Information shared with us in the course of an engagement will not be disclosed to any third party without your consent, except where required by law, court order, or regulatory authority, or as necessary to carry out the services engaged.
This obligation of confidentiality continues after the conclusion of an engagement. It does not, however, apply to information that is or becomes publicly available through no fault of Lexvault.
7. Intellectual Property
All content on this Website — including text, graphics, logos, layout, and code — is the property of Lexvault or its content suppliers and is protected by applicable Malaysian and international intellectual property laws.
You may view and print content from this Website for your personal, non-commercial use only. No content may be reproduced, distributed, or used for commercial purposes without our prior written consent.
Work product and documents produced by Lexvault in the course of a service engagement remain the intellectual property of Lexvault until all fees related to that engagement have been paid in full, at which point ownership of the deliverables passes to the client as agreed in the Engagement Letter.
8. Limitation of Liability
To the fullest extent permitted by Malaysian law:
- Lexvault shall not be liable for any indirect, incidental, consequential, or special loss arising from your use of this Website or reliance on its content.
- Our total aggregate liability to you in connection with any service engagement shall not exceed the fees paid for that specific engagement.
- We do not warrant that this Website will be uninterrupted, error-free, or free from viruses or other harmful components.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under Malaysian law.
9. Third-Party Websites
This Website may contain links to third-party websites for your convenience. These links do not constitute an endorsement of those websites or their content. We have no control over third-party sites and accept no responsibility for them or for any loss that may arise from your use of them.
10. Termination of Engagement
Either party may terminate an engagement by providing written notice to the other. Upon termination:
- You remain liable for fees incurred up to the date of termination.
- We will return original documents belonging to you, provided all outstanding fees have been settled.
- We reserve the right to terminate an engagement immediately where continued representation would place us in breach of our professional obligations, a conflict of interest arises, or instructions from the client are unlawful.
11. Governing Law and Jurisdiction
These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any dispute arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
12. Amendments
We may update these Terms and Conditions from time to time. The version number and effective date at the top of this page will reflect the most recent revision. Your continued use of this Website after any changes constitutes your acceptance of the revised Terms.
For ongoing service engagements, the Terms applicable at the time the Engagement Letter was signed will continue to govern unless both parties agree in writing to apply revised terms.
